DST and Naspers Considering Merger of Polish Internet Holdings

Mail.ru co-owners Digital Sky Technologies (DST) and Naspers appear to be engaged in talks that could result in a merger of the two companies' social networking holdings in Poland. Russian-based DST owns a 75% stake in Nasza-Klasa.pl while the South African-based Naspers owns the Gadu Gadu instant messaging service.

Astrum Online to Merge Under the Mail.ru Brand

Russia's leading internet portal, Mail.ru, has announced plans to acquire online gaming giant Astrum Online and merge the two companies. Russia's Federal Antimonopoly Service (FAS) recently gave Naspers, which owns a 43% stake in Mail.ru, the go-ahead to acquire between 38% and 100% of Astrum from majority shareholder Digital Sky Technologies.

Allegro Completes Bankier.pl Acquisition to Hold 83.2% Stake

Following a June announcement that MIH Allegro B.V. was in negotiations to acquire internet portal Bankier.pl from MCI Management, the deal was completed on August 6, 2009. Allegro has followed through on its plans and has purchased 6,013,052 shares of Bankier.pl, equaling a controlling stake of just over 83%. The shares were acquired via a call for subscription and added to Allegro's securities account on August 5th. The majority share now makes Bankier.pl a subsidiary company of MIH Allegro.

Naspers' Allegro Tenders Offer for Bankier.pl

MCI Management is poised to sell internet portal Bankier.pl to Allegro, an E-commerce portal owned by South African media giant Naspers. Naspers has made a public tender offer to purchase Bankier.pl with plans to integrate the portal's financial services with Allegro's e-commerce platform. One of Bankier's current investors has already stepped on board with the deal by irrevocably committing to tender its 18.4 % stake. At a price of 8.7 zlotys per share, the purchase price would be PLN 62.8 million (USD 19.3 million).

UAProm Receives Majority Investment from Naspers' Allegro

UAProm, the Ukraine based provider of e-commerce and business directory services has recently come under new ownership. Eastern Europe's leading e-commerce group, MIH Allegro Group, has acquired a 51% stake in UAProm for an undisclosed amount to be invested in the company's business development. As part of the deal UAProm retains a 49% stake and has promised to remain part of the business for at least three more years. MIH Allegro Group is owned by South African media company Naspers.

iEurope Capital divests Vatera.hu

iEurope Capital sold Vatera.hu to MIH Internet Europe, a subsidiary of Naspers Limited.

Naspers Gains Majority Share of Mail.ru

South African media group Naspers, which first purchased a stake in Russia's mail.ru in January 2007, has made an additional purchase and is now the majority stock holder. The latest deal was valued at approximately USD 25 million, and combined with the first purchase at USD 165 million, Naspers total investment is estimated in the area of USD 190 million.
